Terms of Use Agreement

This Terms of Use Agreement (the “Agreement”), between PlanetOne and you (hereafter referred to as “you” or “User”), pertains to the proprietary portal (the “Sentient Portal”) developed by PlanetOne for its Sentient lead generation program (the “Program”).

Sentient Portal Proprietary Content and Collaborative Features:

PlanetOne provides access to proprietary information in the Sentient Portal from PlanetOne and its carrier and other vendor partners (collectively, “Providers”), including but not limited to the products and services offered by Providers (“collectively, the “Services”).  In addition, PlanetOne delivers collaborative tools that provide User with leads and other features of the Program.

Sourcing Restriction:

You hereby agree that you will not source any Services for any leads provided to you via the Sentient Portal through any master agency other than PlanetOne or directly with any Provider. If PlanetOne does not have the resources required for you to source such Services (e.g., PlanetOne does not have an agency agreement with the desired Provider), you may source them through another master agency or directly with the Provider; provided, however, you must first offer PlanetOne the right to obtain the necessary resources, and if PlanetOne obtains such resources within a commercially reasonable period of time, you must source the Services through PlanetOne.

Confidential Information:

1) You will treat any and all information provided to you by PlanetOne, through the Sentient Portal or by other means, as sensitive and confidential (“Confidential Information”).  Information that exists in the public domain, was obtained by User by means other than from PlanetOne or the Sentient Portal or has not been held out by PlanetOne or a particular Provider as confidential is not considered Confidential Information under this Agreement.

7) Nature of Data on the Internet. It is PlanetOne’s intent to guard any company or personal information that you submit to us with the level of access control specified in that submission, and PlanetOne will continue to take steps to maintain the security of the Sentient Portal.  Because PlanetOne is a master agency, data we collect from you will be replicated and passed through to Providers in order to meet your needs and fulfill the obligations of other agreements between you and PlanetOne.  PlanetOne provides numerous security measures, but the complexity and open nature of the Internet, and the complexities of transferring necessary information to Providers, software companies for commissions processing and other vendors are such that data may be compromised. Data may be exposed or it may flow over networks without fool-proof security measures and it thus may be accessed and used by people other than those for whom the data is intended. Therefore, when you use the Sentient Portal, you assume the risk of a third party obtaining that information.

Other Agreements

Other than the legal relationship this document establishes for the use of the Sentient Portal and the responsibilities it adds to the existing relationship, it does not limit, supersede or invalidate any other agreements between PlanetOne and User except where indicated herein.

This Agreement shall be governed by, and construed and enforced in accordance with, the laws in the state of Arizona without regard to choice of law principles.  PlanetOne reserves the right, in its sole discretion, to change or modify this Agreement in the future.
